InPrint Software Licence Agreement

Tier: Standard

BEFORE PAYING FOR, DOWNLOADING, ACCESSING OR USING THE SOFTWARE, PLEASE READ CAREFULLY THE TERMS AND CONDITIONS OF THIS LICENCE

This licence agreement (Licence) is a legal agreement between Widgit Software Limited, a company incorporated and registered in England and Wales with company number 07739412 whose registered office is at Bishops House Artemis Drive, Tachbrook Park, Warwick, England, CV34 6UD (Widgit, us or we) and you, the entity or person described on the order confirmation webpage or our invoice relating to your use of the Software (as defined below) (Order), (Licensee or you) for:

  • our InPrint 4 computer software and associated media, including any Add-ons (as defined below) (Software);
  • any printed materials or electronic documents relating to the Software (Documents); and
  • any or all symbols and their variations available and accessible to use in the Software (Symbols).
  1. SCOPE OF LICENCE AGREEMENT

    1. In consideration of payment and agreeing to abide by the terms of this Licence, we grant to you a non-exclusive, non-transferable licence, without the right to grant sub-licences, to download, access and use the Software, Documents and Symbols in accordance with the terms of this Licence.
    2. The licence in clause 1.1:
      1. is granted for the initial duration set out in the Order (Initial Term). This licence will automatically renew for successive periods equal in duration to the Initial Term (each a Renewal Term), unless either party provides written notice to terminate this Licence at least 60 days before the end of the then-current Initial Term or Renewal Term, in which case the licence will terminate at the end of the then-current Initial Term or Renewal Term. The terms of this Licence shall govern the Initial Term and each Renewal Term. The Initial Term and each Renewal Term are collectively referred to as the Subscription Term;
      2. enables you to use the Software, Documents and Symbols in accordance with the subscription tier of the Software that you have purchased as per the Order (Subscription Tier). The express permissions and restrictions associated with your Subscription Tier are as set out in Appendix A of this Licence, as varied from time to time in accordance with this Licence. Where authorised as part of your Subscription Tier, this licence extends to any employees, contractors or other users you permit access in accordance with the terms of this Licence to copies of the Software, Documents and Symbols licensed to you (hereon referred to as 'Your Users') on the basis of the terms of Licence. We do not sell the Software, Documents or Symbols to you. We remain the owners of the Software, Documents and Symbols at all times; and
      3. does not grant the same rights to businesses as to consumers. Where a term applies solely to businesses or solely to consumers, this is clearly indicated. You are considered a business customer if you purchase products wholly or mainly for use in connection with your trade, business, craft, organisation or profession, even if you are an individual.
  2. RIGHTS AND RESTRICTIONS RELATING TO SOFTWARE AND DOCUMENTS

    1. GRANTED RIGHTS

      This Licence permits you and Your Users (where applicable) to:

      1. Download and install the Software only on a number of computers and servers not exceeding the maximum authorised under your Subscription Tier, with the following minimum system requirements:
        • A Microsoft Windows operating system of version Windows 10 or later;
        • 2GB of RAM (4GB recommended); and
        • 5GB of disk space.
      2. enable use of the Software on a number of concurrent installations not exceeding the maximum authorised under your Subscription Tier;
      3. make one copy of the Software for backup purposes on each authorised computer or server only to enable transfer of the Software from one computer to another;
      4. receive and use any free supplementary software code or update of the Software incorporating “patches” and corrections of errors as may be provided by us from time to time;
      5. use any Documents in support of the use permitted under clause 2.1 and make a reasonable number of copies of the Documents as are reasonably necessary for its lawful use;
      6. use the Software, Symbols, and Documents strictly in accordance with the rights associated with your Subscription Tier; and
      7. where included in your Subscription Tier, receive training provided by us that is included in your Subscription Tier.
    2. RESTRICTIONS

      Except as expressly set out in this Licence or as permitted by any applicable law or where we agree otherwise in writing, you undertake:

      1. not to copy the Software, Symbols or Documents except where such copying is incidental to normal use of the Software, or where it is necessary for the purpose of back-up or operational security;
      2. not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Software, Symbols or Documents;
      3. not to make alterations to, or modifications of, the whole or any part of the Software, Symbols or Documents, nor permit the Software, Symbols or Documents or any part of them to be combined with, or become incorporated in, any other programs;
      4. not to disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the Software nor attempt to do any such thing except to the extent that (by virtue of section 296A of the Copyright, Designs and Patents Act 1988) such actions cannot be prohibited because they are essential for the purpose of achieving inter-operability of the Software with another software program, and provided that the information obtained by you during such activities:
        • is used only for the purpose of achieving inter-operability of the Software with another software program; and
        • is not unnecessarily disclosed or communicated without our prior written consent to any third party; and
        • is not used to create any software which is substantially similar to the Software;
      5. to keep all copies of the Software secure and to maintain accurate and up-to-date records of the number and locations of all copies of the Software;
      6. to supervise and control use of the Software, Symbols and Documents and ensure that the Software, Symbols and Documents are used at all times in accordance with the terms of this Licence;
      7. to include our copyright notice on all entire and partial copies you make of the Software, Symbols and Documents on any medium;
      8. not to provide or otherwise make available the Software in whole or in part (including but not limited to program listings, object and source program listings, object code and source code), in any form to any person other than your employees without prior written consent from us; and
      9. to comply with all applicable technology control or export laws and regulations.
  3. RIGHTS AND RESTRICTIONS RELATING TO SYMBOLS

    You understand and agree that you and Your Users (as applicable) are:

    1. permitted to use the Symbols only in the normal course of operating the Software, and in accordance with any express permissions or restrictions within this clause 3;
    2. permitted to print or make electronic or physical copies of, and combine with other documents, materials containing any Symbols and distribute these internally in your organisation or home (as applicable) for non-commercial purposes, provided the original materials containing the Symbols were generated wholly by you or Your Users (as applicable) through the use of the Software in accordance with the terms of this Licence;
    3. permitted to display materials containing the Symbols that were generated in part or wholly through the use of the Software in accordance with the terms of this Licence internally in your organisation or home (as applicable) in locations (physical and electronic) that are unlikely to be regularly viewed or accessed by members of the general public, provided that all such materials have clearly marked on every page that contains any Symbols, with the following copyright notice:

    4. Not permitted to copy the Symbols by any means other than in the normal permitted activity of copying materials containing Symbols adhering to clause 3.2.
    5. Not permitted to modify any of the Symbols for any purpose or in any form.
    6. You shall be liable for all use of the outputs and materials you generate via the Software, even if such use is made by a third party, and shall be liable for ensuring that all use, distribution, and display comply with all applicable laws and regulations, and adhere to the terms and conditions of this Licence. You shall ensure that you notify all of Your Users and those third parties you intend to provide materials containing the Symbols to of the restrictions set out in this Licence.
  4. INTELLECTUAL PROPERTY RIGHTS

    1. You acknowledge that all intellectual property rights in the Software, Documents and Symbols anywhere in the world belong to us, that rights in the Software are licensed (not sold) to you, and that you have no rights in, or to, the Software, Documents or Symbols other than the right to use them in accordance with the terms of this Licence.
    2. You acknowledge that you have no right to have access to or use the Software in source code form.
    3. You acknowledge that we hold all intellectual property rights in the Symbols accessed and utilised through the use of the Software.
  5. ACCESS AND UPDATES TO THE SOFTWARE, DOCUMENTS AND SYMBOLS

    1. Performance of payment by you for the purchase of a licence to the Software, Documents and Symbols will be deemed as acceptance and agreement to the terms of this Licence, upon which we will provide you with the necessary provisions to access the Software, Documents and Symbols.
    2. Any activation key(s) provided to you by us or one of our approved resellers of the Software for access to the Software is meant only for use by you and Your Users (as applicable), and is non-transferable.
    3. Activation keys purchased from us or any of our approved resellers only will be accepted and supported by us in accordance with the terms of this Licence.
    4. The Software may connect to the internet to activate or validate a licence key for the Software, to check for updates to the Software, Documents or Symbols, to load and display product support information and advisories, and (if enabled by you or Your Users (as applicable) to submit entirely anonymous usage statistics of program functions necessary for improvement of the Software, Symbols and Documents.
    5. Before first use of the Software, you are responsible for ensuring that you and Your Users (as applicable) have read, acknowledged and agreed to adhere to the terms set out in the End User Licence Agreement, which is visible on the first access to the Software after its installation.
    6. You acknowledge and agree that:
      1. we are not liable for any failure to diagnose or resolve any request for support caused by us not having remote access to your IT environment or the Software;
      2. we are not liable for any fault caused or failure to diagnose or resolve any request for support where you have failed to install and implement any updates made available by us in respect of the Software, Symbols and Documents.
    7. You shall be responsible for only using the Software, Symbols, and Documents with the latest updates implemented and installed, utilising the appropriate update installer, instructions and documentation provided by us. A failure by you to install and implement such updates immediately after we make such updates available, and/or use the correct provided installer or to follow instructions and/or documentation provided by us in respect to any updates shall render any warranties, obligations, and support obligations in relation to this Licence, null and void and any additional support or assistance required will be deemed out of scope and chargeable.
    8. We shall not at any time be responsible or liable for:
      1. the installation of the Software on your chosen devices; or
      2. the deployment, implementation, configuration, or hosting of the Software as required by you.
    9. We shall not be liable to you for any error, interruption, or unavailability of the Software that is caused by your IT environment.
  6. UPGRADING SUBSCRIPTION TIER AND PURCHASING ADD-ONS

    1. Subject to the terms of this clause 6, you may, from time to time during the Subscription Term, purchase supplementary features, functionalities, applications, or services that enhance or extend the core capabilities of the Software and/or Symbols (Add-ons) and/or purchase a subscription tier higher than your Subscription Tier (Higher Subscription Tier), and we shall grant access to such Add-ons and Higher Subscription Tiers in accordance with the provisions of this Licence.
    2. If you wish to purchase Add-ons and/or a Higher Subscription Tier, you must notify us. We shall evaluate such request for Add-ons and Higher Subscription Tiers and respond to you with approval or rejection of the request (such approval not to be unreasonably withheld or delayed). Where we approve the request, we shall activate the Add-ons and the functionality of the Higher Subscription Tier (as applicable) within a reasonable period of time following our approval of your request.
    3. If we approve your request to purchase additional Add-ons and/or a Higher Subscription Tier, you shall, within 30 days of the date of our invoice, pay the relevant fees for such Add-ons and/or a Higher Subscription Tier (as appliable) and, if such Add-ons and/or a Higher Subscription Tier are purchased by you part way through a payment period, such fees shall be pro-rated from the date of activation by us for the remainder of the current payment period.
    4. If you wish to amend your Subscription Plan during the Subscription Term, other than for the purpose of upgrading to a Higher Subscription Tier or purchasing Add-ons, or if you have placed an incorrect order, an administrative charge of £50 will be applied to process your request. This charge is to account for the time and resources required by our customer success team to handle such requests. We shall be entitled to invoice for this administrative charge immediately upon your request and such invoice shall be due within 30 days of receipt.
  7. FEES

    1. You shall pay the fees set out in the Order for use of the Software, Symbols and Documents in accordance with this clause 7 (Fees).
    2. You shall on the date of this Licence provide to us (or as applicable our authorised third-party payment provider (Payment Provider)) valid, up-to-date and complete details for your chosen payment method (e.g. credit or debit card) (Payment Method) or approved purchase order information or invoicing address acceptable to us (and/or the Payment Provider, as applicable) and any other relevant valid, up-to-date and complete contact and billing details and, if you provide:
      1. details of your Payment Method to us (and/or the Payment Provider, as applicable), you hereby authorise us (and/or the Payment Provider, as applicable) to bill such card:
        • on or after the date of this Licence for the Fees payable; and
        • after the date falling 60 days prior to the next Renewal Term, for the Fees payable in respect of the next Renewal Term;
      2. your approved purchase order information or invoicing address to us, we shall be entitled to invoice you:
        • on or after the date of this Licence for the Fees payable; and
        • after the date falling 60 days prior to the next Renewal Term, for the Fees payable in respect of the next Renewal Term
        and you shall pay each invoice within 30 days after the date of such invoice.
    3. Unless you give notice to terminate this Licence under clauses 1.2.1 or 10.2, you will be liable to pay the Fees for the next applicable Renewal Term.
    4. All amounts and fees stated or referred to in this Licence:
      1. shall be payable in the currency set out in our invoices;
      2. are, save where expressly stated otherwise herein, non-cancellable and non-refundable; and
      3. are exclusive of value added tax, which shall be added to our invoice(s) at the appropriate rate.
    5. We shall be entitled to increase the Fees at the start of each Renewal Term provided that we serve you notice of the proposed increase at least 90 days before the end of the then-current Initial Term or Renewal Term. Should you not agree to the increase in Fees, you must serve notice to terminate this Licence in accordance with clause 1.2.1.
  8. LIMITED WARRANTY

    1. We warrant that:
      1. the Software will, when properly used and on an operating system for which it was designed, perform materially in accordance with the functions associated with your Subscription Tier, as further described in the Documents; and
      2. that the Documents correctly describe the operation of the Software in all material respects,
      for the duration of this Licence. Notwithstanding the foregoing, we do not warrant that the Software will be error-free, uninterrupted, or free from vulnerabilities.
    2. In addition to any other rights you may have if you are a consumer, if, during this Licence, you notify us in writing of any defect or fault in the Software as a result of which it fails to perform materially in accordance with the Documents, we will, at our sole option, either repair, replace or provide a temporary fix for the Software, or, if the defect or fault is so serious that it substantially impacts your use of the Software over the duration of the licensing period, provide you with a refund, provided that you make available all the information that may be necessary to help us to remedy the defect or fault, including sufficient information to enable us to recreate the defect or fault.
    3. The warranty in clause 8.1 does not apply:
      1. if the defect or fault in the Software results from you having altered or modified the Software; or
      2. if the defect or fault in the Software results from you having used the Software in breach of the terms of this Licence; or
      3. to outputs or results of any format generated from the software; or
      4. if the defect or fault arises from the Software being used in combination with any hardware or software not provided by us or specified as compatible by us; or
      5. if the defect or fault results from your failure to follow our instructions or the instructions set out in the Documents; or
      6. if the defect or fault arises from any external causes, including but not limited to, power failures or surges, network issues, or any other causes beyond our control.
  9. LIMITATION OF LIABILITY

    1. You acknowledge that the Software has not been developed to meet your individual requirements, including any particular cybersecurity requirements you might be subject to under law or otherwise, and that it is therefore your responsibility to ensure that the facilities and functions of the Software as described in the Documents meet your requirements.
    2. We only supply the Software and Documents for your personal or internal use by your organisation (as authorised by your Subscription Tier), and you agree not to use the Software or Documents for any purposes that contradict with any section of clause 1 to 3.
    3. You will be fully liable for Your Users’ use of the Software, Documents, and Symbols within your organisation (where applicable). This includes, but is not limited to, any breach of the terms of this Licence, misuse of the Software, or any harm or loss caused by such actions or omissions.

      OUR LIABILITY TO BUSINESSES
    4. We shall not in any circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Licence for:
      1. loss of profits, sales, business, or revenue;
      2. business interruption;
      3. loss of anticipated savings;
      4. wasted expenditure;
      5. loss or corruption of data or information;
      6. loss of business opportunity, goodwill or reputation;
      7. breach of your computing network during use of the Software;
        where any of the losses set out in clause 9.4.1 to 9.4.7 are direct or indirect; or
      8. any special, indirect or consequential loss, damage, charges or expenses.
    5. Other than the losses set out in clause 9.4 (for which we are not liable), our maximum aggregate liability under or in connection with this Licence whether in contract, tort (including negligence) or otherwise, shall in all circumstances be limited to a total of £5,000. This maximum cap does not apply to clause 9.6.
    6. Nothing in this Licence shall limit or exclude our liability for:
      1. death or personal injury resulting from our negligence;
      2. fraud or fraudulent misrepresentation; or
      3. any other liability that cannot be excluded or limited by English law.
    7. This Licence sets out the full extent of our obligations and liabilities in respect of the supply of the Software, Symbols and Documents. Except as expressly stated in this Licence, there are no conditions, warranties, representations or other terms, express or implied, that are binding on us. Any condition, warranty, representation or other term concerning the supply of the Software, Symbols and Documents which might otherwise be implied into, or incorporated in, this Licence whether by statute, common law or otherwise, is excluded to the fullest extent permitted by law.

      OUR LIABILITY TO CONSUMERS
    8. We're responsible for losses you suffer caused by us breaking this Licence unless the loss is:
      1. unexpected. It was not obvious that it would happen and nothing you said to us before we accepted your order meant we should have expected it;
      2. caused by a delaying event outside our control. As long as we have taken the steps set out in clause 12;
      3. avoidable. Something you could have avoided by taking reasonable action; or
      4. a business loss. Our liability for any loss you suffer in connection with your trade, business, craft or profession is limited, as set out above.
  10. SUSPENSION AND TERMINATION

    1. We may suspend your right to use the Software, Symbols, and Documents if you fail to pay any sum due in respect of this Licence on the due date for payment and remain in default for seven days after we notify you to remedy this failure. If we suspend your rights under this clause 10.1:
      1. we will provide you with written notice of the suspension;
      2. the suspension will continue until such time as the outstanding payment has been made in full; and
      3. we reserve the right to charge interest on any overdue amounts in accordance with the applicable statutory rate if you are a business, and at a rate of 3% per annum above the Bank of England’s base rate from time to time if you are a consumer, until the overdue amount is paid.
    2. Each party may terminate this Licence immediately by written notice to the other party if:
      1. that other party commits a material or persistent breach of this Licence which they fail to remedy (if remediable) within 14 days after the service of written notice requiring them to do so;
      2. the other party fails to pay any amount due under this Licence on the due date for payment and remains in default not less than 30 days after being notified in writing to make such payment; or
      3. the other party suspends, threatens to suspend, or is unable to pay its debts as they fall due, goes bankrupt, commences negotiations to reschedule its debts, applies for or obtains a moratorium, or an order is made for its winding up, enters insolvency, administration, or receivership, or a creditor takes enforcement action against its assets; or any similar event occurs under the laws of any jurisdiction to which it is subject, or it suspends or ceases to carry on all or a substantial part of its business.
    3. On termination for any reason:
      1. all rights granted to you under this Licence shall cease;
      2. you must immediately cease all activities authorised by this Licence;
      3. you must immediately and permanently delete or remove the Software from all computer equipment in your possession, and immediately destroy or return to us (at our option) all copies of the Software and Documents then in your possession, custody or control and, in the case of destruction, certify to us that you have done so; and
      4. all restrictions set out in this Licence relating to use of the Symbols shall survive termination and continue indefinitely.
  11. COMMUNICATIONS BETWEEN US

    1. For any queries or request for technical support regarding the Software, Documents or Symbols, or queries regarding your Licence, you may refer to our website https://www.widgit.com for information or contact details. We provide support during our business hours only.
    2. We may update the terms of this Licence and the subscription tiers (including but not limited to the associated features, functionalities, and pricing) at any time on notice to you in accordance with this clause 11. We will provide notice of these changes at least 90 days before the end of the then-current Initial Term or Renewal Term, with such changes taking effect on the first day of the following Renewal Term. Your continued use of the Software and Documents following the deemed receipt and service of the notice under clause 11.4 shall constitute your acceptance to the terms of this Licence and subscription tiers, as varied. If you do not wish to accept the terms of the Licence and subscription tiers (as varied) you must terminate this Licence in accordance with clause 1.2.1.
    3. If we have to contact you, we will do so by email or by pre-paid post to the address you provided in accordance with your order for or registration of the Software.
    4. Note that any notice:
      1. given by us to you will be deemed received and properly served 24 hours after it is first posted on our website, 24 hours after an email is sent, or three days after the date of posting of any letter; and
      2. given by you to us will be deemed received and properly served 24 hours after an email is sent, or three days after the date of posting of any letter.
    5. In proving the service of any notice, it will be sufficient to prove, in the case of posting on our website, that the website was generally accessible to the public for a period of 24 hours after the first posting of the notice; in the case of a letter, that such letter was properly addressed, stamped and placed in the post to the address of the recipient given for these purposes; and, in the case of an email, that such email was sent to the email address of the recipient given for these purposes.
  12. EVENTS OUTSIDE OUR CONTROL

    IF YOU ARE A BUSINESS
    1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this Licence that is caused by an Event Outside Our Control. An Event Outside Our Control is defined below in clause 12.2.
    2. An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation failure of public or private telecommunications networks.
    3. If an Event Outside Our Control takes place that affects the performance of our obligations under this Licence:
      1. our obligations under this Licence will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control; and
      2. we will use our reasonable endeavours to find a solution by which our obligations under this Licence may be performed despite the Event Outside Our Control.

        IF YOU ARE A CONSUMER
      3. If we are delayed in performing our obligations under this Licence by an event outside our control, we will contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won't compensate you for the delay, but if the delay is likely to be substantial you can contact us in accordance with clause 11 to end the contract and receive a refund for any products you have paid for in advance, but not received.
  13. HOW WE MAY USE YOUR PERSONAL INFORMATION

    1. Under data protection legislation, we are required to provide you with certain information about who we are, how we process the personal data of those individuals who use the Software and the Documents and for what purposes and those individuals’ rights in relation to their personal data and how to exercise them. This information is provided in https://www.widgit.com/privacy and it is important that you read that information.
  14. OTHER IMPORTANT TERMS

    1. We may transfer our rights and obligations under this Licence to another organisation, but this will not affect your rights or our obligations under this Licence and we shall give you notice of this.
    2. You may only transfer your rights or your obligations under this Licence to another person if we agree in writing.
    3. Except where you are a consumer:
      1. this Licence and any document expressly referred to in it constitutes the entire agreement between us and supersedes and extinguishes all previous and contemporaneous agreements, promises, assurances and understandings between us, whether written or oral, relating to its subject matter;
      2. you acknowledge that in entering into this Licence you do not rely on and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Licence or any document expressly referred to in it; and
      3. you agree that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this Licence or any document expressly referred to in it.
    4. A waiver of any right or remedy is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy.
    5. A delay or failure to exercise, or the single or partial exercise of, any right or remedy shall not waive that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy.
    6. Each of the clauses of this Licence operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining clauses will remain in full force and effect.
    7. This Licence, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English and Welsh law. If you are a consumer then, wherever you live, you can bring claims against us in the English courts and if you live in Wales, Scotland or Northern Ireland, you can also bring claims against us in the courts of the country you live in. If you are a consumer we can claim against you in the courts of the country you live in. If you are a business, you irrevocably agree to submit all disputes arising out of or in connection with our contract with you to the exclusive jurisdiction of the English courts.
